2007 – June 2007 saw the sale of home fashions business, Domain, for a total consideration of £3.5 million. In October 2007 the Group announced the sale of its foodservice businesses to Ali SpA for a cash consideration of £260 million. The transaction was successfully completed in December 2007, enabling the Group to focus on its strong portfolio of consumer brands as it entered 2008.
2006 - Acquisition of Eloma, the German combi-oven manufacturer, for Euros 10.5m from Gustatus in February 2006 and Amana Commercial Microwaves for $49.25m from Whirlpool Corporation in September 2006. An approach made to Enodis, A UK quoted foodservice operations primarily operating in the US, in November 2006 stating the commercial and financial rationale for a merger of the business which was later declined.
2005 – Aga bakery is formed to drive bakery equipment sales on a global basis and the Group embarks on a campaign to raise the awareness of health, safety, energy efficiency and waste reduction in the commercial kitchen with the products to support the campaign. Holding in Grange is increased to 75%. Acquisitions include Waterford Stanley, the Irish Cast Iron cooker manufacturer, Divertimenti, the London-based high end kitchenware business and Heartland Appliances, the Ontario based cooker and refrigeration operation. Paul Jackson (head of Ogilvy and Mather UK) joins the Board as a non-executive Director.
2004 – Peter Tom (Chief Executive, Aggregate Industries) and Paul Dermody (formerly Chief Executive of De Vere Group Plc) join the Board in February and March 2004 respectively. The ‘Infinity Fryer’ is launched; a revolutionary new product from Falcon Catering Equipment which uses substantially less oil and energy than other fryers. Rangemaster launches the Falcon brand to the French domestic market. The acquisition of the leading French cast iron range cooker manufacturer assists the launch of the Falcon brand into the French domestic market. The acquisition of Pavailler gives the Group a 70% share of the French bakery market. William’s Refrigeration set up a manufacturing and material sourcing base in China.
2003 – Aga-Rayburn and Rangemaster recorded record performances. Project 10,000, the target set in 2001 for 10,000 Aga branded cooker sales by 2003, was achieved. Emphasis was on product development in both consumer and foodservice and the established infrastructure enabled wider cross-selling of Group products and a broadening of the customer base. September 2003 saw the Group acquire Northland-Marvel, the US manufacturer of high-end professional refrigeration appliances for both the domestic and commercial kitchen markets for $21 million. New Board appointments were made during the year: Judy George (Domain Home Fashions) became Executive director, US Retail; John Lovering (Currently Chairman of Debenhams, Fitness First and Laurel Pub Company) became senior independent non-executive director and Helen Mahy (Currently Company Secretary and General Counsel, National Grid Transco plc) became independent non-executive director.
2002 – Aga Foodservice Group focuses on creating a major international consumer brand-led operation with Aga at its heart. It sells its Leisure and Flavel cooker brands as part of a repositioning process which enables it to focus on the development of the Rangemaster brand with its Leamington Spa production facilities becoming a centre of excellence for range cookers. The acquisitions of Domain in the US in March and a shareholding in Grange in France in September provide a European platform for Aga. It is also expanding in niche foodservice markets through the acquisition of Belshaw, the US doughnut equipment supplier in April, Trodahl, UK provider of service and installation work for the refrigeration and air conditioning markets in September, and Bongard, a leading French bakery equipment manufacturer in October.
2001 – In January 2001 Glynwed agrees to sell its Pipe Systems operations to the Belgian Group, Etex for £786 million in cash. Aga Foodservice Group becomes the new name for the Group. Agalinks.com is launched. Aga Foodservice expands its retail operations by acquiring Fired Earth, Britain’s leading interior finishes company in July and closes the year with the acquisition of Elgin and Hall, the premier fire surrounds business, and bakery service and equipment companies Millers in the UK and Adamatic in the US.
2000 – Glynwed announces that it intends to split the Group into Pipe Systems and Consumer and Foodservice Operations to develop the two separately. Business-to-consumer and business-to-business initiatives are launched for Aga-Rayburn and the foodservice operations respectively. Elson provides a manufacturing platform for IPEX in the USA.
1999 – The Group makes its biggest ever acquisitions – IPEX in North America. This makes Glynwed the world’s largest high performance pipe systems company. The Group also gains a firm foothold in the US foodservice market with the acquisition of Victory Refrigeration. Glynwed disposes of the remainder of its metals-based businesses and plastic sheet and rod distribution.
1998 – Glynwed declares its intention to focus on just two core growth activities – Pipe Systems and Consumer & Foodservice Products. Friatec AG of Germany is a major acquisition. Other purchases strengthen its core activities, in particular Williams Refrigeration for Foodservice Products. Metal Services activities are sold.
1997 – Glynwed institutes a programme of strategic re-positioning, and sells both its Tubes & Fittings and Foundry Products activities.
1995 – Glynwed acquires Victaulic plc which is combined with its Plastics Division to form ‘Glynwed Pipe Systems’ as the Group’s largest division.
1992 – Glynwed structure encompasses 7 diverse divisions – Consumer Products, Foundry Products (Construction), Steels & Engineering, Metal Services (Distribution) Tubes & Fittings, Plastics (basis of Pipe Systems Operations) and Properties.
1980s – Glynwed develops engineering conglomerate status with acquisitions such as Ductile Steels plc, Brickhouse Dudley plc, Amari plc and numerous bolt-on businesses. Glynwed also develops its pipe systems acquisitions such as Enfield (USA), Philmac (Australia), FIP (Italy), Harrington Industrial Plastics (USA) and Innoge (Monaco).
1981 – Glynwed buys Durapipe in the UK, which, together with Vulcathene, form the basis of a pressure pipe systems business.
1981 – Group becomes Glynwed International plc
1969 – Glynwed takes over Allied Iron Founders, doubles in size and acquires the basis of a consumer and foodservice business.
1939 – Glynwed is formed.
